1. Agreement to Terms

By accessing or using OutpostIQ (“the Service”), operated by OutpostIQ (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

OutpostIQ is a software-as-a-service (SaaS) platform that provides restaurant profitability modeling tools, including P&L modeling, what-if analysis, recipe and bar costing, labor modeling, and financial projections. The Service is intended for restaurant operators, consultants, and hospitality professionals.

3. Accounts and Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old.

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access to your account.

4. Subscription Plans and Payment

OutpostIQ offers multiple subscription tiers (Scout, Operator, Commander). Each plan provides access to different features as described on our pricing page. All plans include a 5-day free trial.

Billing: Subscriptions are billed monthly in advance. Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds will be issued for partial billing periods.

Price changes:We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price increase takes effect on your account.

5. Free Trial

New subscribers receive a 5-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and you will be charged the applicable subscription fee.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malicious code, viruses, or other harmful content
  • Resell, sublicense, or redistribute access to the Service without our prior written consent
  • Use automated tools to scrape, extract, or collect data from the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Create multiple free accounts to circumvent usage limits

7. Your Data

You retain ownership of all data you input into the Service (“Your Data”). You grant us a limited license to use, store, and process Your Data solely for the purpose of providing the Service to you.

We will not share, sell, or distribute Your Data to third parties, except as required by law or as described in our Privacy Policy.

You are responsible for maintaining backups of Your Data. While we take reasonable precautions to protect Your Data, we do not guarantee against loss.

8. Intellectual Property

The Service and all associated content, features, functionality, branding, and technology are owned by OutpostIQ and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

Not financial advice:The financial projections, models, and calculations provided by the Service are tools for estimation and planning only. They do not constitute financial, investment, tax, or legal advice. You should consult qualified professionals before making financial decisions based on the Service's outputs.

We make no representations about the accuracy, reliability, or completeness of any financial projections, benchmarks, or calculations generated by the Service. Actual results may differ materially from projections.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTPOSTIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless OutpostIQ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Account Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. You may request a copy of Your Data within 30 days of account termination by contacting us at support@outpostiq.com.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. General Provisions

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and OutpostIQ regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
